This End-User License Agreement (this "Agreement") is between [Boston Tree Preservation, Inc.] ("BTP," "we," "us," or "our"), located at 2 Draper Street, Woburn, MA 01801, and you, the person or entity using our Software (defined below). By accessing or using the Software, you agree to this Agreement. If you do not agree, do not use the Software.
1. What this Agreement covers
"Software" means the software applications, web pages, portals, and integrations that BTP makes available in connection with its tree and plant health care services, including our online contract confirmation and checkout pages, online payment links, customer notifications, and our integrations with third-party platforms such as Intuit QuickBooks Online, Stripe, and Salesforce.
This Agreement covers your use of the Software only. The tree and plant health care services you purchase from BTP are governed by your service contract or proposal with us; if this Agreement conflicts with your service contract, the service contract controls for the services themselves.
2. Your license
We grant you a limited, non-exclusive, non-transferable, revocable license to use the Software for your personal or internal business purposes — for example, to review and confirm a contract, make a payment, or receive service updates. We and our licensors keep all ownership of the Software and all intellectual property rights in it. No rights are granted to you other than this license.
3. Acceptable use
You agree that you will not:
• copy, modify, distribute, sell, lease, or create derivative works of the Software;
• reverse engineer, decompile, or attempt to extract the source code of the Software;
• use the Software to violate any law or the rights of any person;
• interfere with or disrupt the Software, probe or test its security, or attempt to access accounts, systems, or data that are not yours;
• use automated tools to scrape or harvest data from the Software; or
• submit false or misleading information through the Software.
4. Accounts and accuracy
Some features may require you to provide information such as your name, email address, service address, or payment details. You agree that the information you provide is accurate and yours to provide, and that you will keep it up to date. You are responsible for activity that occurs through links or credentials sent to your email address, and you agree to tell us promptly if you believe a link or account has been misused.
5. Payments
Payments made through the Software are processed by third-party payment processors (currently Stripe), and invoicing and accounting are handled through Intuit QuickBooks Online. BTP does not store your full card or bank account numbers. Amounts due, prepayment discounts, and refund terms are set by your service contract with us, not by this Agreement. Payment processors have their own terms and privacy policies, which apply to the information you submit to them.
6. Third-party services
The Software works with third-party platforms (for example Intuit QuickBooks Online, Stripe, Salesforce, and email/text messaging providers). We are not responsible for third-party services, and your use of them may be subject to their own terms. A third-party outage may temporarily limit features of the Software.
7. Privacy
Our collection and use of personal information through the Software is described in our Privacy Policy, available at [https://www.bostontreepreservation.com/privacy-policy]. By using the Software you consent to that collection and use.
8. Electronic communications and records
You consent to receive contracts, invoices, receipts, payment links, and service communications from us electronically (by email or text message where you have provided a mobile number), and you agree that electronic confirmations — such as clicking to confirm a contract or completing an online checkout — have the same effect as a handwritten signature. You may request paper copies, or withdraw this consent, by contacting us at the address in Section 14; withdrawing consent may limit features that depend on electronic delivery. Message and data rates from your carrier may apply to text messages.
9. Changes to the Software
We may update, add, remove, or discontinue features of the Software at any time. We may also suspend or end your access to the Software if you violate this Agreement or if we reasonably believe your use creates risk for us or others.
10. Disclaimer of warranties
The Software is provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Software will be uninterrupted, error-free, or secure. This section applies to the Software only; it does not limit any warranty stated in your service contract for the tree care services themselves, and it does not limit warranties that cannot be disclaimed under applicable law.
11. Limitation of liability
To the maximum extent permitted by law, BTP will not be liable for indirect, incidental, special, consequential, or punitive damages arising out of or related to the Software, and our total liability arising out of or related to the Software will not exceed the greater of (a) the amounts you paid to BTP through the Software in the twelve months before the claim arose, or (b) one hundred dollars ($100). Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you. Nothing in this Agreement limits liability that cannot be limited under applicable law, including under Massachusetts consumer protection law.
12. Indemnification
If you are a business user, you agree to indemnify and hold BTP harmless from claims and expenses (including reasonable attorneys’ fees) arising from your misuse of the Software or your violation of this Agreement.
13. Term, termination, and changes to this Agreement
This Agreement applies while you use the Software. Sections that by their nature should survive (including Sections 10–15) survive termination. We may update this Agreement from time to time; the current version will always be posted at [https://www.bostontreepreservation.com/eula], and the "Effective date" above will show when it last changed. Your continued use of the Software after a change means you accept the updated Agreement.
